First Amendment to the Agreement Between the City of Edgewater, Core & Main, and Sensus USA, Inc. for Software and Spectrum Lease Services

SUMMARY:

On July 15, 2019, the City of Edgewater entered into an agreement with Core & Main and Sensus USA, Inc. for software and spectrum lease services, which included an initial five (5) year term with an automatic renewal for an additional five (5) years.

The proposed First Amendment revises the agreement term to establish a new initial term of ten (10) years, commencing on the effective date of the amendment. Upon expiration of the initial term, the agreement will automatically renew for one (1) additional ten (10) year term, unless terminated in accordance with the terms of the agreement.

Additionally, the First Amendment replaces Exhibits A and B in their entirety and incorporates a new Exhibit C, titled “Network as a Service,” to enhance and support the City’s operational capabilities.

This amendment ensures continued reliability, modernization, and long-term stability of the City’s utility communication and metering infrastructure.
